Terms of Service

Please read these Terms carefully before using TaskEsc. By creating an account or submitting a job request, you agree to be bound by them. If you are accessing TaskEsc on behalf of a company, partnership, or other organization, you represent that you are authorized to bind that organization to these Terms, and “you” and “Customer” refer to that organization.

Notice: These Terms were substantially revised on 2026-04-25 for B2B use and are pending legal review. If you are an enterprise customer, a separate Master Services Agreement may supersede portions of these Terms.

1. About TaskEsc

TaskEsc is an automated vendor-coordination platform operated by Elipsion Group Holdings LLC, DBA TaskEsc, that helps customers gather availability and pricing information from local service providers. When you submit a vendor request, TaskEsc identifies candidate businesses, places outbound automated voice calls on your behalf, parses the responses, and returns the best options.

TaskEsc is not a contractor, service marketplace, or booking guarantee. We are a research and communication tool. All engagement with a service provider is solely between you and that provider.

Throughout these Terms, “Customer” means the individual or entity that has agreed to these Terms and is using the Service. “Service” means the TaskEsc platform and all features and functionality offered through it.

2. Authority to Bind

If you are accessing or using TaskEsc on behalf of a company, limited liability company, partnership, association, or other legal entity, you represent and warrant that:

  • you have the authority to bind that entity to these Terms;
  • you are duly authorized to submit job requests, authorize automated outbound calls to vendors, and commit the entity to payment obligations under these Terms; and
  • you will ensure that all individuals who access the Service through your account comply with these Terms.

If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Service.

3. Customer Eligibility

To use TaskEsc you must:

  • Be at least 18 years of age. By creating an account you represent that you meet this requirement.
  • Be located in the United States. TaskEsc is available for US-based customers only during the current phase. Provider discovery, calling infrastructure, and legal compliance are scoped to US jurisdictions.
  • Have the legal authority to authorize outbound automated calls to businesses in connection with a genuine vendor inquiry submitted on behalf of yourself, your employer, or an organization you represent.

Accounts found to be operated by individuals outside these eligibility criteria may be suspended without notice.

4. Service Description

TaskEsc's workflow for each job is as follows:

  1. You submit a natural-language vendor request (e.g., "Need a plumber at the Riverside property this week").
  2. TaskEsc asks at most two follow-up questions to clarify job details.
  3. The system searches for 5–10 candidate businesses near the job location.
  4. Up to 5 businesses are contacted via automated voice call. Calling stops after 2 valid responses are gathered.
  5. Responses are parsed and ranked. You see the top 2–3 options.

Results include availability windows, price ranges, and notes from each call. These are informational only. You must independently confirm all details before making any booking or payment decision.

5. Quote and Availability Information

Quotes, price ranges, and availability windows returned by TaskEsc are based solely on what a vendor stated during an automated call. You acknowledge and agree that:

  • All quote and availability information is advisory only and does not constitute a binding offer by the vendor or by TaskEsc.
  • Pricing and availability may have changed between the time the call was placed and the time you view or act on the results.
  • Quoted prices may not reflect all applicable fees, materials, permits, or scope-dependent charges.
  • Customer agrees not to rely solely on TaskEsc-returned quotes for material business decisions — including but not limited to budget approvals, contract commitments, or tenant communications — without independent confirmation directly from the vendor.

6. Acceptable Use

Commercial use of TaskEsc is explicitly permitted. You may submit vendor requests on behalf of your employer, properties under management, tenants, residents, clients, or other business operations. Customer is responsible for the content and accuracy of every request submitted through its account.

You agree not to use TaskEsc for any of the following. Violations will result in immediate suspension and forfeiture of remaining credits.

  • Requesting illegal goods or services (narcotics, weapons, etc.)
  • Submitting fraudulent, deceptive, or misleading requests intended to harm businesses, competitors, or individuals
  • Using the platform to harass, threaten, or deceive any business or individual
  • Targeting residential or personal phone numbers — TaskEsc calls commercial businesses only
  • Submitting requests designed to generate nuisance calls to a vendor, including repeated bad-faith requests targeting the same business
  • Attempting to extract personally identifiable information from businesses beyond what is relevant to a genuine vendor inquiry
  • Using automated scripts, bots, or other means to abuse the platform or its calling infrastructure
  • Submitting requests that contain obfuscated, encoded, or adversarial content intended to manipulate our systems
  • Any use that violates applicable local, state, federal, or international law

7. Credits and Payment

TaskEsc operates on a prepaid credit system. You must purchase credits before submitting a job. One credit covers one complete job execution.

  • Credits are non-refundable once a job has begun, except as described below or as required by applicable law.
  • If a job produces zero usable results (all businesses were unreachable or provided no usable information), the credit is automatically returned to your account.
  • Partial results — where at least one business responded with usable information — are not refunded.
  • Credits do not expire and are tied to your account. They have no cash value and cannot be transferred or redeemed for currency.
  • All purchases are processed through Square. TaskEsc does not store your payment card details.

If you believe a credit was incorrectly deducted, contact support@taskesc.com within 14 days of the job completing.

8. AI Calling — Authorization and Consent

By submitting a job request, you explicitly authorize TaskEsc to place outbound telephone calls to businesses on your behalf using an automated AI voice agent. You acknowledge and agree that:

  • Calls are placed by an AI voice agent, not a human representative. The agent identifies itself as automated at the start of every call.
  • Calls are recorded and transcribed for quality, safety, and compliance purposes. Audio recordings are stored on our voice provider's secure infrastructure (currently Telnyx) alongside a PII-scrubbed written transcript. Both are retained for up to twelve (12) months from job completion; you may request earlier deletion of any recording via the History page. By submitting a job request, you consent to the recording and transcription of these calls on your behalf and confirm that you have the authority to authorize such recording under the laws of your state and the state(s) where the called businesses operate.
  • Up to five (5) businesses may be contacted per job. Each call is capped at approximately three (3) minutes.
  • The automated agent may not perfectly represent every nuance of your request. You are responsible for confirming all details directly with the provider.
  • TaskEsc calls only registered commercial business phone numbers. We do not call residential or personal numbers.
  • You represent that each vendor request is genuine and that you have a lawful purpose for requesting outreach to the businesses identified.

9. Automated Calling and TCPA Compliance

All calls placed by TaskEsc are subject to applicable telecommunications laws, including the Telephone Consumer Protection Act (TCPA) and state equivalents.

  • TaskEsc verifies that phone numbers belong to registered businesses before placing calls. Requests involving residential or personal numbers are blocked.
  • Businesses may opt out at any time by stating so during a call. TaskEsc maintains an internal Do Not Call list and honors opt-outs permanently.
  • Every call is placed in direct response to a specific vendor request submitted by an authenticated user. TaskEsc does not make unsolicited marketing calls.

10. SMS Messaging Program — TaskEsc Texts

This section explains how TaskEsc uses SMS text messages and what you consent to when you add a mobile number to your profile. By providing a phone number to TaskEsc, you expressly consent to receive the SMS messages described below from TaskEsc, at the number you provided, to the mobile carrier on file. Consent is not a condition of purchase or of using TaskEsc.

Program name: TaskEsc

Purpose. TaskEsc only uses SMS to support the service you explicitly requested. Messages are sent by TaskEsc in direct response to your account activity. You will never receive marketing, promotional, or third-party content.

Types of messages you may receive

  • Phone verification (OTP). A one-time code sent when you add or change your phone number so we can verify the number belongs to you.
  • Intake follow-up questions. When you submit a service request that needs clarification (e.g., scope, timing, or budget), TaskEsc may text you a follow-up question so we can begin contacting providers on your behalf.
  • Job status notifications. Transactional alerts such as “results ready,” job completion, or credit-related issues tied to an active job.

How you opt in

SMS is 100% opt-in. You are not enrolled in the program until you voluntarily add a mobile phone number to your TaskEsc profile and submit it through the profile form. The profile page includes a clear notice above the phone input linking directly to this section. Creating a TaskEsc account does not opt you into SMS — only explicitly providing a mobile number does.

How to opt out

You may opt out at any time by:

  • Replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any TaskEsc message. You will receive one final confirmation and no further SMS.
  • Removing your phone number from your TaskEsc profile, which immediately stops all SMS delivery to that number.

Getting help

Reply HELP or INFO to any TaskEsc message and you will receive a reply with support contact information. You can also email support@taskesc.com or visit taskesc.com for help.

Message frequency

Frequency varies based on your activity. A typical job produces zero to ten messages from start to finish. You will not receive messages outside of your active use of TaskEsc.

Cost

Message and data rates may apply. The TaskEsc SMS program itself is free, but standard carrier charges from your mobile provider may apply depending on your plan. Contact your carrier for details.

Supported carriers and delivery

TaskEsc supports all major US carriers. Carriers are not liable for delayed or undelivered messages. TaskEsc does not guarantee delivery of any particular message.

Mobile information sharing

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. Eligibility

The TaskEsc SMS program is available to TaskEsc account holders who are residents of the United States, are 18 years or older, and use a mobile phone line that supports SMS on a participating US carrier.

11. Vendor Relationship and Disclaimer of Warranties

TaskEsc is a coordination platform. TaskEsc is not a party to any agreement between Customer and any vendor contacted through the Service. TaskEsc makes no warranty, express or implied, regarding:

  • the quality, competence, licensing, insurance, bonding, or fitness for purpose of any vendor
  • the accuracy of any pricing, quote, estimate, or availability window communicated by a vendor during an automated call
  • whether any vendor will fulfill, honor, or complete any service or commitment
  • vendor scheduling reliability, response times, or adherence to agreed-upon terms
  • the quality or fitness of any work product, service, or output delivered by a vendor

Customer remains the principal in any vendor transaction. Customer is solely responsible for independently verifying vendor credentials, licensing and insurance status, work scope, and any final agreement or contract before engaging a vendor for any work. The Service is provided “as is” and “as available.”

12. Customer Data

Job details, addresses, contact information, request content, and other information submitted by Customer through the Service (“Customer Data”) remain Customer's data. TaskEsc processes Customer Data solely to provide the Service and as otherwise described in the Privacy Policy.

  • TaskEsc will not sell Customer Data or use it for any purpose unrelated to operating and improving the Service.
  • TaskEsc may use de-identified, aggregated metadata derived from Customer Data for product analytics and service improvement. Such aggregated data cannot reasonably be used to identify Customer or any individual.
  • Customer represents that it has all rights necessary to submit Customer Data to the Service, including any data relating to third parties (tenants, clients, property addresses, etc.).

13. Confidentiality of Results

Vendor names, contact information, quotes, call transcripts, and recommendations returned through the Service are specific to Customer's account and are treated as confidential to that account. TaskEsc will not share Customer-specific results, transcripts, or job outputs with any third party except:

  • as required by applicable law, regulation, or valid legal process;
  • to the extent necessary to investigate suspected violations of these Terms or potential fraud; or
  • with Customer's explicit written consent.

14. No Guarantee of Results

TaskEsc does not guarantee:

  • that any vendor will respond to a call
  • that any appointment will be scheduled or honored
  • that pricing information gathered is accurate, complete, or final
  • that any vendor is available, qualified, licensed, insured, or otherwise suitable for Customer's needs
  • continuous or uninterrupted operation of the Service or any specific feature

All information returned through the platform should be independently verified before making any decision or commitment.

15. Limitation of Liability

To the maximum extent permitted by applicable law, TaskEsc, Elipsion Group Holdings LLC, and their officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to Customer's use of the platform, including but not limited to:

  • missed appointments or lost business opportunities
  • incorrect quotes, pricing information, or availability windows
  • unsatisfactory services performed by third-party vendors
  • property damage, injury, or financial loss arising from vendor engagements
  • disputes between Customer and any third-party vendor
  • temporary unavailability, errors, or data loss in the Service

In no event shall TaskEsc's total cumulative liability exceed the amount Customer paid to TaskEsc in the twelve (12) months preceding the claim.

16. Indemnification

Customer agrees to indemnify, defend, and hold harmless TaskEsc, Elipsion Group Holdings LLC, and their officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of:

  • (a) Customer's selection of, engagement with, or reliance on any vendor identified or contacted through the Service;
  • (b) Customer's use of TaskEsc to contact a particular vendor or category of vendor, including any claim that such contact was unauthorized or harassing;
  • (c) Customer's misrepresentation of job scope, location, or any other material detail submitted through the Service;
  • (d) any dispute between Customer and a vendor arising out of or related to a job initiated through the Service;
  • (e) Customer's violation of these Terms or any applicable law in connection with using the Service; or
  • (f) inaccurate, false, or misleading information Customer provided to TaskEsc or to any vendor contacted on Customer's behalf.

17. Enterprise Terms

Customers operating under a separately signed Master Services Agreement (MSA), Enterprise Order Form, or Statement of Work executed with TaskEsc or Elipsion Group Holdings LLC are governed by those documents to the extent of any conflict with these Terms. In all other respects, these Terms apply.

Standard self-serve signups completed through the TaskEsc website are governed solely by these Terms. No verbal or informal representations by TaskEsc personnel create enterprise-tier obligations unless memorialized in a signed written agreement.

18. Service-Level Acknowledgment

TaskEsc does not currently offer a guaranteed uptime service-level agreement (SLA) on the self-serve tier. The Service is provided on a commercially reasonable efforts basis. TaskEsc will endeavor to notify Customers of planned maintenance in advance where practicable.

Enterprise customers requiring a contractual SLA commitment, including uptime guarantees, incident response times, or dedicated support tiers, may negotiate those terms in a separate MSA. Self-serve Customers acknowledge that no SLA is in effect and that the limitations in Section 15 apply to any service interruption.

19. Termination and Data Export

Customer may close their account at any time by contacting support@taskesc.com. Unused credits at account closure are non-refundable unless required by law.

Customer may request a one-time structured export of their job history within 30 days of account closure by emailing ceo@taskesc.com. TaskEsc will provide an export of jobs, submitted requests, and recommendation outputs in a structured format (e.g., JSON or CSV). Raw call audio is not retained and is therefore not available for export.

After account closure, TaskEsc will retain Customer Data only as long as required by applicable law or legitimate business need (e.g., fraud prevention, tax records), after which it will be deleted or de-identified in accordance with the Privacy Policy.

20. Suspension

TaskEsc may suspend or permanently terminate Customer access, with or without advance notice, for any of the following:

  • violation of any provision of these Terms;
  • suspected fraud, identity misrepresentation, or account sharing;
  • abusive use of the calling system, including submitting requests designed to harass a vendor, generate nuisance calls, or manipulate the platform's outputs;
  • payment failures or chargebacks;
  • activity that, in TaskEsc's reasonable judgment, creates legal, regulatory, or reputational risk for TaskEsc, its vendors, or other customers.

Accounts that accumulate 3 or more violations within 24 hours or 7 or more within 12 months will be permanently banned. Upon permanent ban, all remaining credits are forfeited.

21. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights. Most concerns can be resolved quickly by contacting us at support@taskesc.com.

If a dispute cannot be resolved informally, you and TaskEsc agree that any claim arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall be seated in Indiana, USA.

  • Class-action waiver. You and TaskEsc each waive the right to bring or participate in any class action, collective action, or representative proceeding. Arbitration will be conducted on an individual basis only.
  • Opt-out right. You may opt out of this arbitration agreement by sending written notice to support@taskesc.com within 30 days of the date you first create a TaskEsc account. Your opt-out notice must include your name, email address, and a clear statement that you are opting out of the arbitration agreement. Opting out does not affect any other provision of these Terms.
  • Notwithstanding the foregoing, either party may seek emergency equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

22. Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by the laws of the State of Indiana, United States, excluding its conflict-of-law principles. For any claim or dispute that is not subject to arbitration under Section 21, you and TaskEsc consent to the exclusive jurisdiction of the state and federal courts located in Indiana.

23. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. For material changes, we will notify you by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

24. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed from these Terms. All remaining provisions shall continue in full force and effect.

25. Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between Customer and Elipsion Group Holdings LLC regarding Customer's use of TaskEsc and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral. Where Customer operates under a separately signed MSA, that MSA prevails over these Terms to the extent of any conflict.
